1. Who these terms are with

These terms apply between you and Marhaba Consulting and Investment LLC, trading as Marhaba Business Solutions, registered in the Sultanate of Oman under CR 1650061, with its office in Bowshar, Muscat ("Marhaba", "we", "us").

They govern your use of this website and, where no separate signed engagement letter exists, the services we provide. Where you have signed an engagement letter or service agreement with us, that document takes precedence over these terms wherever the two differ.

2. What we are, and what we are not

Marhaba is an independent corporate services and advisory firm. We are not a government agency, and we have no authority to grant, refuse or accelerate any government decision.

Registration approvals, licence issuance, visa decisions, tax rulings and bank account approvals rest entirely with the relevant authority or institution — MoCIIP, the Royal Oman Police, the Tax Authority, OCCI, the Ministry of Labour, free zone authorities, and the banks. We prepare, submit, follow up and advise. We do not decide.

We are not a law firm and we do not provide legal representation. We are not an audit firm. Where a matter requires a licensed lawyer, auditor or notary, we will say so and can introduce you to one.

3. Information on this website

The guidance published on this site — timelines, fee ranges, thresholds, ownership rules, process descriptions — is general information, not advice for your situation. Omani regulations change, and they are applied differently across activities, nationalities and free zones.

We take care to keep this site accurate and to date-stamp material that changes. We do not warrant that every figure is current at the moment you read it, and we accept no liability for decisions taken on the basis of the website alone rather than written advice given to you directly.

4. Engagements, quotes and scope

Prices published on this site are indicative fixed fees for a defined standard scope. They become binding when confirmed in a written quotation or engagement letter for your specific case.

Where a package price is stated as including government fees, it includes the government fees identified in the quotation for the activities and shareholding structure quoted. Additional government charges arising from a change of activity, additional shareholders, capital increases, expedited processing, translation, notarisation, attestation or legalisation are charged at cost and identified before they are incurred.

Work outside the agreed scope is quoted separately and started only once you have approved it in writing.

5. Timelines

Timelines we quote — for example, roughly 20 working days to commercial registration — are estimates based on our experience of a complete, correct file. They assume documents are provided in the required form and that authorities operate normally.

We are not responsible for delays caused by authority backlogs, system outages, public holidays, policy changes, bank internal processes, or documents arriving late or incomplete from your side. We will tell you promptly when a timeline slips and why.

6. What we need from you

You agree to provide accurate, complete and current information and documents, and to tell us promptly if anything changes. Specifically, you agree that:

• Documents you give us are genuine and lawfully obtained;
• Information about shareholders, beneficial owners and source of funds is truthful and complete;
• You will co-operate with anti-money-laundering and know-your-client checks that we and the banks are legally required to perform;
• You will not ask us to make any statement to an authority that is untrue.

We may suspend or terminate an engagement, without refund of work already performed, where information proves materially false, where a required check cannot be satisfied, or where continuing would place us in breach of Omani law.

7. Fees and payment

Fees are payable as set out in your quotation — typically in stages tied to delivery gates. Government fees, third-party charges and disbursements are payable in advance of being incurred, as they are paid out on your behalf and are not recoverable by us.

Government fees, notary charges, translation and attestation costs are non-refundable once paid to the authority, regardless of the outcome of an application. Our own fees for work already performed are non-refundable if you terminate an engagement mid-way, though we will not charge for stages not yet started.

Invoices are due on the terms stated on the invoice. We may suspend work on overdue accounts after written notice.

8. No guarantee of outcome

We do not guarantee that any application will be approved, that a bank will open an account, that a visa will be issued, or that a particular activity will be permitted to a particular nationality. Where we believe an application is unlikely to succeed, we will tell you before you spend money on it.

Where an application is refused for reasons within our control — an error in a document we prepared, or a filing we mishandled — we will correct and resubmit it at our own cost.

9. Confidentiality

We treat everything you share with us as confidential, and disclose it only to the authorities, banks and licensed intermediaries required to deliver your engagement, or where Omani law compels disclosure. Our handling of personal data is described in our Privacy Policy.

We may name you as a client, or describe an engagement in general terms, only with your written permission.

10. Intellectual property

The content, structure and design of this website belong to Marhaba. You may read, print and share pages for your own use. You may not republish substantial parts of the site, or reproduce our fee structures, process descriptions or written materials commercially, without written permission.

Deliverables prepared for you as part of an engagement — a plan, a structure recommendation, a document pack — become yours once paid for. Our underlying templates, methods and know-how remain ours.

11. Liability

Nothing in these terms excludes liability for fraud, or for anything that cannot lawfully be excluded under Omani law.

Subject to that, our total liability arising from an engagement is limited to the fees you have paid us for that engagement, excluding government fees and disbursements paid onward on your behalf. We are not liable for indirect or consequential loss, including lost profit, lost opportunity, or losses arising from a delayed registration, visa or bank account.

12. Third-party services

Where we introduce you to a bank, notary, lawyer, auditor, landlord or licensed PRO partner, we do so in good faith. Your relationship with that party is your own, on their terms, and we are not responsible for their acts, omissions or fees.

13. Termination

Either of us may end an engagement in writing. On termination we will hand over your documents and tell you the status of anything in progress with an authority. Fees for work already performed remain payable, and amounts paid to third parties are not recoverable.

14. Governing law

These terms, and any dispute arising from them or from our services, are governed by the laws of the Sultanate of Oman. The competent courts of Muscat have exclusive jurisdiction, save that we may agree in writing to resolve a dispute by arbitration in Muscat.

We would rather solve a problem than litigate it. If you have a complaint, write to info@marhaba-business.com and we will respond within five working days.

15. Changes

We may update these terms. The version in force is the one published here on the date you engage us, and the effective date at the top of this page reflects the current version. Changes do not affect engagements already under way.
