For most founders setting up in Oman, the choice comes down to how many shareholders the company will have. Both structures offer limited liability, identical tax treatment, and the same commercial standing — but they're governed differently and registered through slightly different MoCIIP procedures.

If you have a co-founder, a corporate parent, or any chance of raising capital, the LLC is the safer structure — converting an SPC to an LLC later is doable but adds cost and time.

What's the difference between an LLC and an SPC in Oman?
An SPC (Sole Proprietorship Company) is a limited-liability entity with a single shareholder. An LLC (Limited Liability Company) requires two or more shareholders (up to 50). Both offer the same tax treatment and most of the same commercial benefits. The SPC is simpler to govern and slightly faster to incorporate. The LLC is the preferred structure when multiple partners, corporate shareholders, or future fundraising is involved.
How long does LLC or SPC formation actually take in Oman?
A standard LLC or SPC formation completes in about 20 working days once documents are in order — that's the Marhaba Start timeline. The Launch package runs 30 working days because it includes the website build and SEO foundation alongside the formation. Can a foreigner own 100% of an LLC in Oman?
Yes. Since the Foreign Capital Investment Law (FCIL) came into force in 2020, 100% foreign ownership is permitted across the vast majority of commercial activities in Oman. A small list of strategic sectors — certain defence, resource-extraction, and security activities — still requires Omani participation. Marhaba verifies eligibility for your specific activity in the discovery call before any documents are drafted.
What is the minimum share capital to set up an LLC in Oman?
For most commercial activities, there is no mandatory minimum share capital for an LLC in Oman under FCIL 2020 — though banks typically require evidence of OMR 20,000 to open a corporate account. Specific regulated activities (banking, insurance, certain financial services, contracting tiers) carry sector-specific capital floors that are higher.
Do I need an Omani partner to form an LLC?
Not for the vast majority of activities. FCIL 2020 removed the historical "Omani sponsor" requirement for most commercial categories. You'll need an Omani partner only for a narrow list of restricted activities. Marhaba runs your specific activity against the FCIL list before any constitutive documents are drafted.
Do I need to travel to Oman to register my company?
No. The entire commercial registration process can be handled remotely through the MoCIIP portal. You'll typically only need to travel to Oman once, and only if your chosen bank requires in-person KYC or if you're applying for an investor visa requiring biometrics.
What documents do I need to get started?

For corporate shareholders: apostilled and translated copies of the parent company's certificate of incorporation, MoA/AoA, and board resolution authorising the Oman investment. What activities can my Omani LLC carry out?
MoCIIP issues CRs against specific commercial activity codes. Most companies are licensed for 2–5 related activities (e.g. "general trading," "management consultancy," "IT services"). Some activities require additional ministerial approvals (Ministry of Health for medical, MoTCIT for telecom, MOLA for legal). Do I need a Muscat business address to register my LLC?
Yes — MoCIIP requires every Omani LLC and SPC to have a registered address in the Sultanate. If you don't have a physical office, Marhaba offers a Virtual Office add-on at OMR 730/year (OMR 2/day, prepaid annually). This provides a registered Muscat business address that satisfies MoCIIP's requirement, plus mail handling. It's optional, separate from the Start package, and you can drop it once you sign your own lease.
What happens after my CR is issued?
With the Start package: you receive the CR, MoA, AoA, tax certificate, OCCI certificate, and investment licence — and you're ready to trade. With Launch (OMR 1,950) and Grow (OMR 3,950) packages, we continue with website, SEO foundation, warm partner introductions, and a structured 90-day commercial activation plan.
